Entity Management
Corporate structure, governance, and equity management for post-funding companies.
Founders who have closed a seed or Series A round and need ongoing corporate hygiene and cap table maintenance handled accurately.
The work
Corporate hygiene that stands up to diligence
After a financing, entity and equity records become part of the company's operating infrastructure. Board approvals, state filings, option grants, valuation timelines, and ownership records all need to stay current as the company hires, raises, and grows.
PIF Advisory helps maintain that discipline so founders are not rebuilding the corporate record under pressure during a financing, audit, acquisition, or investor request.

FAQs
What to know before we begin.
The questions operators ask before an engagement starts.
Cap table management includes recording equity issuances, option grants, exercises, transfers, investor ownership, dilution, option pool changes, SAFE or note conversions, and supporting documents so ownership records stay accurate through financings and audits.
Founders should revisit entity structure before institutional financing, multi-state hiring, international expansion, subsidiary creation, acquisitions, or major tax planning decisions. Structure choices can affect governance, investor diligence, tax treatment, and operational flexibility.
A disorganized cap table can slow diligence, create investor trust issues, delay option grants, complicate 409A work, and require expensive legal cleanup. Problems with SAFEs, option approvals, or missing consents are especially painful during a priced round.
A registered agent receives official notices and compliance correspondence for an entity. Legal counsel provides legal advice, drafts transaction documents, and represents the company. PIF coordinates records and filings while working alongside counsel when legal judgment is required.
